The lender decided to do this after a minority shareholder sought to block the meeting in court.

Shu Pei Huang, who owns 200 shares, claimed among other things that the EGM's timing fell short of the required 21-day notice period for shareholders.

At the court hearing for the matter yesterday afternoon, EONCap agreed to withdraw all its proposed resolutions and to abandon the meeting.

The court also ordered the lender to pay RM10,000 in cost to Shu, sources said.

One of the sources said while EONCap did not agree with any of Shu's allegations, it chose not to fight them in court as it feared lengthy legal proceedings could delay matters.

"It's the sensible thing to do," he told Business Times.

EONCap officials could not be reached for comment.

As it stands, EONCap already has an ongoing legal matter to deal with.

The bank's biggest shareholder, Primus Pacific Partners, which is against the Hong Leong bid, in June launched a suit against the directors, claiming the bid was unlawful in structure and oppressive to small shareholders.

The case goes to trial from September 20 this year.

It is believed that EONCap may issue a fresh notice for an EGM to be convened in about a month or so.

Hong Leong, which has set deadlines for the smaller bank to secure all approvals for its offer, is unlikely to walk away from the deal following the latest developments as it had previously indicated that it may provide some leeway if necessary.

The government, via the central bank, had two weeks ago already approved the deal.

Although shareholders may be split on the deal, analysts believe it will likely be approved at an EGM.

This is because Hong Leong is doing a takeover of the smaller bank's assets and liabilities, not its shares, and so needs only 50 per cent plus one vote for it to be passed at an EGM.

The three biggest shareholders who have indicated their intention to sell - Rin Kei Mei, Tan Sri Tiong Hiew Kheng and Khazanah Nasional Bhd - already hold a combined 41.7 per cent stake.

Still, if shareholders approve the deal, EONCap will have to wait for the court's decision on whether the Hong Leong offer is valid before it can officially accept the bid.

Primus is Manolo Blahnik Shoes resisting the deal as Hong Leong's implied offer price of RM7.30 a share is lower than its entry cost of RM9.55 a share.

Royston Dean, 44, was working with his brother Stephen at a new waste water management site in Frampton-on-Severn when the accident happened in November 2008.
